Horizon Equity Partners Management II S.à r.l. (“HEP”) was incorporated under the laws of the Grand Duchy of Luxembourg on November 3, 2020 as a private limited liability company (société à responsabilité limitée) for an unlimited period to act as Alternative Investment Fund Manager (“AIFM”).
An AIFM is any legal person whose regular business is managing one or more alternative investment funds (AIFs). AIFMs are governed by the Luxembourg Law of 12 July 2013 on alternative investment fund managers.
HEP is registered in the Commission de Surveillance du Secteur Financier (“CSSF”) and has an Anti-Money Laundering and Countering the Financing of Terrorism Policy (“AML & CFT Policy”) duly implemented under the Luxembourg Law of 12 November 2004 on the fight against money laundering and terrorist financing transposing Directive 2001/97/EC of the European Parliament and of the Council of 4 December 2001 amending Council Directive 91/308/EEC. the Directive 2015/849/UE of the European Parliament and of the Council of 20 May 2015.
The CSSF is the financial services regulator of the Grand-Duchy of Luxembourg.
Horizon Equity Partners SCR, S.A. (“Horizon SCR”) was incorporated under the laws of Portugal as a private limited liability company (sociedade anónima) for an unlimited period, and on April 2nd, 2025 obtained the authorization to act as a manager of private equity funds.
Such manager is entitled to manage private equity funds and, under certain conditions, other types of AIFs. It is governed by the Portuguese Decree-Law nr. 27/2023, which sets forth the legal regime applicable to private equity and asset management.
Horizon SCR is registered in the Comissão de Mercado de Valores Mobiliários (“CMVM”) and has an Anti-Money Laundering and Countering the Financing of Terrorism Policy duly implemented under the Portuguese Law 83/2017 on the fight against money laundering and terrorist financing transposing the Directive 2015/849/UE of the European Parliament and of the Council of 20 May 2015.
The CMVM is the investment and asset management services regulator of Portugal.
